These Terms of Service (“Terms”) govern access to and use of StakeholderHub, the stakeholder-relationship management platform operated by StakeholderHub Inc. (“StakeholderHub,” “we,” “us”). By creating an account or otherwise using the Service, you and the organization you represent (“Customer,” “you”) agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
StakeholderHub is a software-as-a-service platform that helps Canadian project teams, consultants, and organizations plan, track, and document stakeholder and Indigenous-nation engagement — including engagement carried out under Duty to Consult obligations. The Service is provided on a subscription basis as described on our pricing page.
2. Accounts and access
- You must provide accurate information when creating an account and keep it up to date.
- You are responsible for safeguarding your login credentials and for activity that occurs under your account.
- An organization's administrators are responsible for managing which individuals have access to that organization's account and data, and for removing access when it is no longer appropriate (e.g. when a team member leaves).
- We may suspend or terminate an account for breach of these Terms, non-payment, or activity that risks the security or integrity of the Service or other Customers' data.
3. Customer data — ownership, roles, and our processing of it
As between StakeholderHub and the Customer, the Customer owns and retains all rights to the stakeholder, engagement, and related data it enters into or uploads to the Service (“Customer Data”). StakeholderHub acts as the Customer's service provider (processor) with respect to Customer Data: we process it only to provide, secure, and support the Service, on the Customer's instructions, and we do not use Customer Data to train general-purpose AI models or sell it to third parties. Our Privacy Policy describes how personal information within Customer Data is handled in more detail.
The Customer is responsible for ensuring it has the appropriate legal basis and, where applicable, the necessary notices or consents in place to enter stakeholder and Indigenous-nation contact information into the Service, including information relating to individuals who are not themselves StakeholderHub users.
4. Acceptable use
You agree not to, and not to permit others to:
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- attempt to access another Customer's data, or probe, scan, or test the security of the Service without authorization;
- reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
- upload malicious code, or use the Service in a way that could disrupt, disable, or overburden it; or
- resell or provide the Service to third parties as a standalone product without our written consent.
5. Subscriptions, fees, and billing
Paid plans are billed in advance on a monthly or annual basis, in Canadian dollars, through our payment processor, Stripe. Fees are non-refundable except as required by law or as we expressly state otherwise. We may change our pricing on renewal with reasonable advance notice. If a payment fails or a subscription lapses, we may suspend access to the Service until the account is brought current.
6. Optional AI-assisted features
Certain features (for example, drafting assistance and natural-language reporting over a Customer's own data) are powered by third-party AI models (currently Anthropic's Claude). These features are optional and can be disabled by an organization's administrators. AI output may be inaccurate or incomplete and should be reviewed by a person before being relied on, particularly for anything used in a regulatory or consultation record.
7. Third-party services
The Service integrates with third-party providers — including Supabase (hosting/database), Vercel (application hosting), Stripe (billing), Resend (email delivery), Mapbox (geocoding), and Sentry (error monitoring) — described in our Privacy Policy. Certain optional features depend on the availability of these providers.
8. Intellectual property
StakeholderHub and its licensors retain all right, title, and interest in and to the Service, including its software, design, and branding. Except for the limited right to access and use the Service under these Terms, no rights are granted to Customer. Customer retains all rights in Customer Data as described in Section 3.
9. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own confidential information of a similar nature, and will use it only as necessary to perform under these Terms.
10. Availability and support
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and unplanned outages may occur. Support requests can be sent to hello@stakeholderhub.ca.
11. Disclaimers
The Service is provided “as is” and “as available.” StakeholderHub helps organize and document engagement activity; it does not provide legal advice, and using the Service does not by itself guarantee compliance with Duty to Consult or any other legal obligation. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, StakeholderHub will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service. Our total aggregate liability arising out of or related to these Terms will not exceed the amount paid by the Customer to StakeholderHub in the twelve (12) months preceding the event giving rise to the claim.
13. Termination
Either party may terminate a subscription in accordance with the plan terms agreed at signup. Upon termination, access to the Service ends, and Customer Data will be handled as described in our Privacy Policy's retention section. Sections that by their nature should survive termination (including Sections 3, 8, 9, 11, and 12) will survive.
14. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of British Columbia.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here with a new effective date and, for material changes, provide additional notice to Customers. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
